Compliance

Kyoritsu Seiyaku Corporation (hereinafter referred to as the “Company”) hereby establishes the Kyoritsu Seiyaku Compliance Code of Conduct as follows.
All officers and employees shall comply with and act in accordance with this code.

1. General Provisions

All officers and employees, as individuals engaged in the animal pharmaceutical business, shall be fully aware of their social responsibilities and shall strive to maintain a high standard of corporate ethics to earn the trust and support of all consumers and customers. They shall faithfully comply with relevant laws, internal regulations, and other applicable guidelines while conducting their business activities with a strong sense of ethics and social responsibility.

2. Business Activities

All officers and employees shall engage in business activities as follows:

(1) Research and Development

All officers and employees in the research and development of animal pharmaceuticals shall comply with the Pharmaceutical Affairs Act, regulations on the safety of animal pharmaceuticals, and other relevant laws, regulations, guidelines, and rules. They shall also record reproducible and accurate data with scientific rigor and prepare objective assessments of the efficacy, safety, and other relevant aspects of the products.

(2) Production

All officers and employees shall comply with the Pharmaceutical Affairs Act, other relevant laws, and internal standards in the manufacturing of products, ensuring appropriate manufacturing and quality control to stably supply reliable products to the market. They shall also work to ensure safe operations to prevent accidents and disasters. In the event of a quality issue, they shall promptly investigate the cause and make every possible effort to prevent its recurrence.

(3) Sales

All officers and employees shall comply with applicable laws, regulations, and other relevant rules in the sale of products, conduct their sales activities fairly and transparently, and respond to consultations, requests, and complaints from consumers, customers, and business partners appropriately and sincerely.

(4) Advertising and Promotion

All officers and employees shall comply with applicable laws, regulations, and other relevant rules in corporate and product advertising and promotional activities, avoid false or exaggerated claims, and ensure that the content and representations are fair, accurate, and free of human rights abuses, including social discrimination.

(5) Provision of Information

All officers and employees shall comply with laws, guidelines, and internal standards in providing information to veterinary professionals and shall provide and collect information that contributes to the proper use of animal pharmaceuticals and other products. They shall not slander nor defame other businesses or their products in the provision of information about products.

(6) Post-Marketing Surveillance

All officers and employees, if there is a suspicion of adverse events caused by the Company’s products, shall promptly report to the relevant authorities in accordance with laws and regulations and shall conduct investigations into the causes. Additionally, they shall establish an internal system to quickly obtain adverse event information related to our products and analogous compounds, both domestically and internationally, and shall strive to prevent harm from side effects, including those arising from the concomitant use of other drugs.

3. Relationship with Consumers and Customers

  1. All officers and employees, as individuals engaged in the animal pharmaceutical business, shall contribute to overcoming animal diseases and advancing animal pharmaceuticals.
  2. They shall respect the mutual status, rights, and interests of business partners and maintain fair and sound relationships in transactions in accordance with laws and contracts.

4. As Good Corporate Citizens

  1. All officers and employees shall voluntarily and proactively take actions to improve and enhance the global environment. If there is any possibility that the Company’s business activities may have a negative impact on the global environment, they shall make every possible effort to resolve the issue.
  2. They shall resolutely confront and oppose any antisocial forces and organizations that threaten the order and safety of civil society and shall refuse to comply with unjust or illegal demands.
  3. They shall comply with international regulations and local laws, respect local cultures and customs, and actively contribute to their development when expanding business overseas.

5. Internal Discipline

  1. All officers and employees shall conduct fair business practices in their relationships with veterinary professionals, competitors, distributors, and suppliers in strict compliance with the Antimonopoly Act, the Unfair Competition Prevention Act, and other applicable laws. They shall not engage in any conduct that solicits improper gifts, entertainment, rebates, or similar transactions with veterinary professionals.
  2. They shall avoid transactions that may lead to conflicts of interest between the Company and their personal interests. In the event of a potential conflict, the interests of the Company shall take precedence.
    They shall not use their position or authority in the perance of their duties to demand personal benefits (such as money, goods, entertainment, conveniences, etc.) from business partners.
  3. They shall not engage in sexual harassment, power harassment, or similar behavior. We shall implement the necessary measures to ensure that employees' working environments are safeguarded from harm caused by such harassment.
  4. They shall recognize that discoveries, inventions, designs, trademarks, copyrighted works, and other results of intellectual creative activities arising from their duties are important intellectual property of the Company and shall handle them appropriately.
    They shall promptly report any results obtained in the course of their duties to the Company. The Company shall promptly take steps to secure intellectual property rights (such as by filing patents) as necessary. All officers and employees shall not infringe upon the intellectual property rights of third parties in the course of pering their duties.
  5. They shall strictly manage and store confidential ination and personal ination recorded in written or electronic ats, striving to prevent leakage or alteration.
  6. They are obligated to report any acts that contravene internal regulations or this Code of Conduct to the person responsible for compliance management and supervision.
  7. Regular education and training shall be conducted to ensure that all officers and employees are thoroughly ined about and understand this Code of Conduct.
